Terms of Use & Master Agreement
These Terms of Use govern access to and usage of Shakalya International’s cognitive platforms, API endpoints, developer sandboxes, and enterprise AI engines.
1. Acceptance of Terms
By creating an account, initializing an API session, or utilizing any platform operated by Shakalya International Pvt. Ltd. (including Quantsilica AI, DataXpress, SI Sandbox, and ResumeFlow AI), you agree to be bound by this Master Agreement.
If you are entering into this agreement on behalf of an enterprise or institution, you represent that you possess executive authority to bind such entity.
2. Account Clearance & Access Security
Users are responsible for maintaining the confidentiality of their authentication keys, OAuth credentials, and API access tokens. Any activity conducted under your clearance credentials remains your sole legal responsibility.
3. Acceptable Use & API Rate Limits
You agree not to engage in any prohibited system activities, including:
- Attempting to reverse engineer, decompile, or extract source code from Shakalya's neural architectures or proprietary sEMG research models.
- Executing malicious prompt injection attacks, automated scraping, or denial-of-service (DDoS) requests against platform endpoints.
- Circumventing established API rate limits, security throttles, or role-based access control (RBAC) boundaries.
- Using platform inference outputs to generate fraudulent, deceptive, or illegal materials.
4. Intellectual Property Rights
Shakalya Ownership: All trademarks, algorithms, UI components, neural model weights, and platform software remain the exclusive intellectual property of Shakalya International Pvt. Ltd.
User Ownership: You retain complete ownership of all data inputs, document uploads, and generated analysis outputs produced through your authorized usage of our services.
5. Service Level Agreement (SLA)
Shakalya targets 99.95% operational uptime for enterprise tier services. Scheduled maintenance windows are communicated at least 48 hours in advance via system status channels.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Shakalya International shall not be liable for indirect, incidental, or consequential damages arising from service interruptions, algorithmic predictions, or loss of operational data.
7. Termination Protocols
Either party may terminate account access at any time. Shakalya reserves the right to immediately suspend access credentials upon detection of critical security violations or breach of acceptable use terms.
8. Governing Law & Arbitration
This Master Agreement is governed by the laws of India. Any legal disputes shall be submitted to binding arbitration in Sonipat, Haryana, India.
